TERMS OF SERVICE

These Terms govern the STORE website, STORE CORP world, wallet features, collectible evidence, membership access, games, content, physical releases, events and related services operated by Problem.

1. Agreement and incorporated policies

These Terms of Service are a binding agreement between you and Problem Media and its applicable affiliates, collaborators and service operators, doing business through STORE and STORE CORP (collectively, “STORE,” “Problem,” “we,” “us” or “our”). They apply to sto.re, successor domains, official STORE applications, drops, games, events, communications and services that link to them (the “Services”).

By accessing or using the Services, connecting a wallet, claiming or acquiring a STORE collectible, redeeming a benefit, registering for an event or otherwise participating, you agree to these Terms. Our Privacy Policy, Cookie Policy, Collector Terms, collection-specific rules, event rules, redemption instructions and other terms presented at the point of an activity are incorporated into this agreement.

If you do not agree, do not use the Services. Terms presented for a specific release, event, game or benefit control over these general Terms only for that specific activity and only to the extent of a direct conflict.

2. What STORE is

STORE is an evolving worldbuilding, collectible and membership ecosystem. STORE CORP is the fictional organization at the center of that world. The Services may publish narrative records, artwork, games, interactive content, digital collectibles, physical editions, merchandise, community programming, partner releases and real-world experiences.

STORE is not a bank, broker, dealer, exchange, investment adviser, money transmitter, custodian or fiduciary. The current site is primarily an editorial archive and access interface. Listings, ownership history and secondary transactions may be provided by independent third-party marketplaces such as OpenSea.

The project is intentionally released in chapters. Features, story elements, classifications, eligibility criteria and available experiences may evolve as the world develops.

3. Eligibility

You must be at least 13 years old to browse general-audience portions of the Services. You must be at least 18 years old and legally capable of entering a contract to connect a wallet for a transaction, acquire or transfer a collectible, redeem a physical item, register for an age-restricted event or use any feature involving payment or blockchain activity.

If you use the Services for an organization, you represent that you are authorized to bind it. You may not use the Services if doing so would violate law, sanctions, export controls, contractual restrictions or these Terms.

4. Wallets, signatures and account security

Some features require a compatible self-custodial wallet. Your wallet and private keys are controlled by you and your wallet provider, not STORE. We do not custody wallets, recover private keys, reverse blockchain transactions or guarantee compatibility with any wallet.

A standard membership connection is free and should not require a token approval or transfer. A wallet signature may be requested for secure authentication. Read every wallet message and transaction before approving it. Any transaction that moves assets or grants permissions must be presented separately from a read-only connection.

You are responsible for protecting your wallet, seed phrase, devices and credentials; confirming destination addresses, networks, contract addresses and transaction details; and all activity initiated through your wallet. Notify us promptly if you believe an official STORE interface has been compromised, but understand that we generally cannot restore lost or stolen blockchain assets.

5. Genesis collectible records and token standard

The current STORE CORP Genesis records displayed through the Services were issued on Ethereum through OpenSea’s shared storefront contract at 0x495f947276749ce646f68ac8c248420045cb7b5e. OpenSea identifies these items as ERC-1155 multi-token collectibles. They are not ERC-20 fungible tokens, currency, equity or shares in STORE or Problem.

Because the referenced contract is a shared OpenSea contract that may contain items from many creators, the contract address by itself does not establish that an item is an official STORE collectible. Official status depends on the specific token identifier, provenance, collection record and links published through sto.re or the verified STORE profile at opensea.io/store.

Future STORE releases may use different contracts, token standards, networks or non-blockchain records. Only addresses and release details published through official STORE channels should be treated as authoritative. Users are responsible for verifying those details before acting.

6. Collectibles are not investments

STORE collectibles are intended as game, narrative, artwork, membership and access items. They are offered for personal enjoyment and participation—not as investments or financial products.

No collectible gives you equity, ownership of STORE or Problem, dividends, revenue share, profit rights, debt rights, intellectual-property ownership, guaranteed governance rights or any expectation that STORE will take actions to increase its market value, unless a separate signed agreement expressly says otherwise.

We do not promise scarcity, liquidity, resale demand, market value, appreciation, profit, continued marketplace support or any minimum value. Prices may be volatile and may fall to zero. Acquire a collectible only if you value its present creative or access-related qualities and can bear the complete loss of the amount spent.

7. Membership, access and evolving benefits

Holding an eligible collectible may allow STORE to recognize your wallet and may make you eligible for content, games, artwork, physical items, product windows, events, community spaces, partner programs or other experiences. Eligibility may depend on the specific item, token ID, quantity held, snapshot time, wallet status, location, age, capacity, claim window or additional published rules.

Benefits are not permanent property rights and are not guaranteed merely because an item was previously eligible. Unless a release expressly states otherwise, STORE may add, modify, substitute, limit, pause or discontinue benefits, games and access features; set claim windows and capacity limits; correct errors; and take measures necessary for safety, fairness, legal compliance or project development.

Benefits may be personal, non-transferable, first-come-first-served, geographically restricted or subject to separate costs. Transferring a collectible may end associated access for the transferor and may not transfer a used, expired, redeemed or identity-bound benefit.

8. Transactions, marketplaces, fees and taxes

Blockchain transactions are generally irreversible. You are responsible for reviewing price, currency, network, gas, marketplace fees, creator fees, taxes and transaction permissions before confirming an action.

When you buy, sell or transfer through OpenSea or another third party, that provider’s terms and privacy practices apply. Unless STORE is expressly identified as the direct seller at checkout, STORE is not a party to a peer-to-peer transaction and does not control settlement, custody, listings, offers, marketplace uptime or counterparty conduct.

You are responsible for determining and paying taxes associated with your activity. We may collect or report information where legally required. Displayed availability, ownership or price information may be delayed, incomplete or inaccurate because it comes from public blockchains or third-party services.

9. Physical items, events and game experiences

Physical items may be subject to separate pricing, shipping, customs, taxes, geographic restrictions, redemption windows, inventory limits and fulfillment terms. A collectible is not a warehouse receipt or perpetual claim on a physical object unless a specific release expressly says so. Redeeming a benefit may not burn or otherwise change the related collectible.

Event access may require registration, identity or age verification, a qualifying wallet at a specified time, acceptance of venue rules and a code of conduct. Dates, locations, capacity, talent, programming and safety requirements may change. Unless stated otherwise, travel, lodging and incidental expenses are your responsibility.

Games and interactive systems may be updated, rebalanced, suspended or retired. A collectible’s appearance, attributes or access function within a game may change for security, fairness, creative or technical reasons. STORE does not promise interoperability with third-party games or platforms. STORE experiences are not gambling and may not be used for wagering or unlawful contests.

10. Third-party services

The Services may interact with blockchains, wallets, marketplaces, RPC providers, WalletConnect, Coinbase, OpenSea, Vercel, Google, payment processors, shipping providers, event platforms and other third parties. We do not control and are not responsible for their availability, security, fees, content, decisions or practices.

Links do not constitute endorsement. Third-party outages, forks, policy changes, delistings, API failures or security events may affect the Services or a collectible’s visibility and functionality.

11. Acceptable use

You may use the Services only lawfully and for their intended purposes. You may not interfere with, damage, reverse engineer where prohibited, overload or bypass the Services or their security controls.

  • Do not use bots, scraping, Sybil activity or technical manipulation to obtain unfair access to limited releases, claims, games, votes or events.
  • Do not engage in wash trading, sham offers, coordinated price manipulation, misleading promotion or other deceptive market conduct.
  • Do not introduce malware, exploit vulnerabilities, impersonate STORE or others, phish for wallet credentials or distribute false contract links.
  • Do not infringe intellectual-property, privacy, publicity or other rights; harass others; publish unlawful content; or use the Services for regulated financial activity without authorization.
  • Do not transact where you or the transaction is subject to applicable sanctions, embargoes or restrictions.

12. STORE content and intellectual property

The Services, STORE and STORE CORP names and marks, characters, lore, artwork, designs, software, audiovisual material, interfaces and other content are owned by STORE, Problem or their licensors and are protected by intellectual-property laws. Except for the limited rights in the Collector Terms, no ownership or license is transferred to you.

You may not use STORE content commercially, create confusing derivative brands, register STORE-related marks, tokenize or sell STORE content, train a commercial model on protected assets, or imply sponsorship without written permission.

13. Submissions and feedback

Do not send confidential or proprietary ideas unless we have signed a separate agreement. Feedback you voluntarily provide may be used by STORE without restriction, attribution or compensation. You retain ownership of other lawful content you submit, but grant STORE a worldwide, non-exclusive, royalty-free license to host, reproduce and display it as reasonably necessary to operate and promote the relevant Service.

You represent that you have the rights needed for anything you submit and that it does not violate law or another person’s rights.

14. Blockchain and collectible risks

Blockchain technology involves substantial risk, including irreversible errors, smart-contract vulnerabilities, malicious approvals, compromised keys, phishing, metadata or media unavailability, network congestion, forks, changing standards, regulatory changes, marketplace delisting and loss of compatibility.

Public blockchain records may be permanent and visible globally. We cannot delete or alter information written to a public blockchain. Off-chain media, descriptions and access systems may be hosted separately and may change or become unavailable.

You accept these risks and are solely responsible for evaluating whether a wallet, transaction or collectible is appropriate for you.

15. Safety, fraud and enforcement

We may investigate suspected violations, refuse or revoke off-chain access, cancel a claim, remove content, block an interface, preserve records or cooperate with authorities when reasonably necessary for security, safety, legal compliance or enforcement. We cannot prevent a person from transferring a token directly on a public blockchain, but we may decline to recognize access associated with fraud, theft, sanctions or abuse.

16. Privacy and cookies

Our Privacy Policy explains how we handle personal information. Our Cookie Policy explains analytics and consent choices. Non-essential Google Analytics does not load until a visitor affirmatively accepts analytics cookies through our consent interface.

17. Changes to the Services and these Terms

We may modify, suspend or discontinue all or part of the Services, including free or paid features, to the extent permitted by law. We may update these Terms by posting a revised version and changing the effective date. If a change materially affects existing rights, we will provide additional notice where reasonably practicable or legally required.

Your continued use after revised Terms become effective constitutes acceptance. Changes do not retroactively eliminate non-waivable consumer rights.

18. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES, CONTENT, COLLECTIBLES, ACCESS FEATURES AND INFORMATION ARE PROVIDED “AS IS” AND “AS AVAILABLE.” STORE DISCLAIMS ALL EXPRESS, IMPLIED AND STATUTORY WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, SECURITY, AVAILABILITY AND QUIET ENJOYMENT.

WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE; THAT A COLLECTIBLE WILL RETAIN VALUE, MEDIA OR UTILITY; THAT THIRD-PARTY INFORMATION IS ACCURATE; OR THAT DEFECTS OR SECURITY EVENTS WILL BE CORRECTED. SOME JURISDICTIONS DO NOT ALLOW CERTAIN DISCLAIMERS, SO PORTIONS MAY NOT APPLY TO YOU.

19. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, STORE, PROBLEM AND THEIR AFFILIATES, TEAM MEMBERS, LICENSORS, PARTNERS AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES; LOST PROFITS, VALUE, DATA, GOODWILL OR OPPORTUNITIES; WALLET OR ASSET LOSS; OR DAMAGES ARISING FROM THIRD-PARTY SERVICES, BLOCKCHAINS, SMART CONTRACTS, EVENTS OR UNAUTHORIZED ACCESS, EVEN IF ADVISED OF THE POSSIBILITY.

THEIR TOTAL AGGREGATE LIABILITY ARISING OUT OF THE SERVICES WILL NOT EXCEED THE GREATER OF US$100 OR THE AMOUNT YOU PAID DIRECTLY TO STORE FOR THE SPECIFIC SERVICE GIVING RISE TO THE CLAIM DURING THE TWELVE MONTHS BEFORE THE EVENT. AMOUNTS PAID TO THIRD-PARTY SELLERS OR MARKETPLACES ARE NOT AMOUNTS PAID DIRECTLY TO STORE.

These limitations allocate risk and are a fundamental basis of the agreement. They do not limit liability that cannot legally be limited, including applicable non-waivable consumer rights.

20. Indemnity

To the extent permitted by law, you will defend, indemnify and hold harmless STORE, Problem and their affiliates, team members, licensors, partners and service providers from claims, losses, liabilities, damages, judgments, costs and reasonable attorneys’ fees arising from your unlawful use, your breach of these Terms, your wallet or transactions, your submitted content, or your violation of another person’s rights.

21. Dispute resolution; arbitration; class waiver

Before filing a claim, you and STORE agree to send a written notice describing the dispute and requested relief and to attempt in good faith to resolve it for at least 30 days. Notices to STORE must be sent to store@problem.tv with the subject “Legal Dispute Notice.”

Except for qualifying small-claims matters or requests for temporary injunctive relief concerning intellectual property, security or unauthorized access, any dispute arising from these Terms or the Services will be resolved by confidential, binding, individual arbitration administered by the American Arbitration Association under its applicable Consumer Arbitration Rules. The Federal Arbitration Act governs this provision. Arbitration may be conducted remotely unless the arbitrator requires otherwise.

YOU AND STORE WAIVE THE RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS, COLLECTIVE, CONSOLIDATED OR REPRESENTATIVE ACTION OR ARBITRATION. The arbitrator may award relief only to the individual claimant and only as necessary to resolve that claimant’s individual claim.

You may opt out of arbitration by emailing store@problem.tv within 30 days after first accepting these Terms, stating your full name, wallet address if applicable and an unambiguous request to opt out. If this arbitration provision is unenforceable for a particular claim, that claim must be brought exclusively in the state or federal courts located in Orange County, California, unless applicable law requires otherwise.

22. Governing law

These Terms are governed by the laws of the State of California, without regard to conflict-of-law rules, except that the Federal Arbitration Act governs arbitration. Mandatory laws in your place of residence continue to apply where they cannot be waived.

23. General terms

These Terms and incorporated policies are the entire agreement concerning the Services. If a provision is unenforceable, it will be modified to the minimum extent necessary and the remainder will continue. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a reorganization, financing, merger, sale or transfer of the Services. There are no third-party beneficiaries except indemnified parties.

Headings are for convenience. Electronic communications and records satisfy writing requirements. Events beyond reasonable control, including network failures, natural disasters, labor disputes, government actions and third-party outages, may excuse delayed performance.
